1. About NILO and this agreement

NILO is operated by Vignesh Rapaka in Hyderabad, Telangana, India (“NILO”, “we”, “us”). These Terms of Service cover our website, studio, profiles, digital cards, short links, forms, and booking tools. Support, complaints, privacy requests, appeals, and legal notices can be sent to hello@nilo.my.

By creating a workspace or otherwise agreeing to these terms, you enter this agreement. If you act for a business, you confirm you can bind it. If you disagree, do not create or continue using a workspace. Visitors and guests must follow our acceptable-use rules when interacting with NILO. The Privacy Policy explains data handling; it is not consent for unrelated uses of personal information.

2. Eligibility and account security

You must be at least 18 and legally able to enter this agreement to create a workspace or submit a form or booking. NILO is not designed for children. Use accurate information, protect your sign-in and private booking links, and promptly report suspected unauthorized access. You are responsible for activity you authorize and people acting on your behalf.

Third-party sign-in and hosting terms also apply. A username or URL is a service allocation, not property or a promise of permanent availability. We may address impersonation, trademark conflicts, abuse, or technical problems with an allocation.

3. Your content stays yours

You keep the rights you hold in your content. You grant NILO a non-exclusive, worldwide, royalty-free licence to store, copy, format, display, transmit, and back it up only as needed to operate, secure, and provide the service and carry out your publishing choices. Providers may do the same on our behalf. This does not transfer ownership or permit us to sell your content.

You must have the rights and permissions needed for your text, media, branding, links, and personal information. You are responsible for accuracy and lawful destinations. Do not imply endorsement without permission. Public content can be copied, downloaded, or indexed by others; unpublishing cannot recall those copies.

The operating licence ends when content is deleted from our active service, except for copies temporarily retained in backups or reasonably needed for law, security, disputes, or enforcement. Those copies remain subject to our Privacy Policy.

4. Responsible use

Follow the Community Guidelines and applicable law. No exploitation, illegal sexual content, threats, harassment, doxxing, fraud, impersonation, infringement, malware, phishing, spam, deceptive redirects, or evasion of safeguards. Do not disrupt systems, bypass limits, collect information without permission, or sell access to others’ data.

Do not submit passwords, card details, government identifiers, health records, or similarly sensitive information in profiles, forms, or booking notes. NILO is not an emergency service or a regulated medical, legal, or financial record system. We do not verify creators’ qualifications or endorse their services.

5. Bookings, contacts, and integrations

NILO supplies scheduling tools. Hosts are responsible for their services, availability, meeting locations, cancellation arrangements, and dealings with guests. NILO is not the appointment provider or a party to a separate host–guest agreement. Hosts must use guest and form information only for its disclosed purpose, protect it, provide any required notices, and honour applicable data rights. Form consent does not authorize unrelated marketing.

Conflict checks cannot guarantee that a slot stays free on every external system. Verify time zones and status; some meetings need host approval. NILO currently sends no confirmation or cancellation emails. Save the private management link: anyone holding it can view, reschedule, or cancel that appointment.

Google access is optional and described in the calendar privacy section. Sync can fail or be delayed; editing a Google copy does not edit NILO. External websites, calendars, media, and sign-in services have their own terms and practices. We cannot guarantee their availability, security, moderation decisions, or acceptance of a link. Do not use NILO for processing that requires a separate signed data-processing agreement unless one has been agreed.

6. Free today. Possible paid features later.

The current release is free. NILO does not currently take payments or operate paid subscriptions. We may introduce optional paid features, plans, limits, trials, or other offers and change what a free plan includes. This is a possibility, not a launch announcement, price commitment, or guarantee that a feature will be delivered.

These terms do not authorize a charge. Before a purchase, we will show the price, currency, taxes, billing period, included features, renewal arrangements, cancellation method, and refund terms. Payment and recurring billing require your affirmative agreement. We will not retroactively charge for past free use or automatically convert your current free use into a paid subscription.

We do not promise every feature will stay free forever. Introducing a paid plan does not by itself authorize automatic deletion of existing content. If a change affects existing access, we will explain the choices and, where reasonably practicable, provide advance notice and a reasonable chance to export content. Future paid offers will carry the terms disclosed at purchase; mandatory cancellation and refund rights remain protected.

7. Service changes and availability

We may update, limit, replace, or discontinue features, integrations, or the service for operational, legal, security, or business reasons. Experimental features may change more often. Where reasonably practicable, we will give advance notice of material reductions or a shutdown and a chance to export available data. Urgent security incidents, unlawful activity, provider restrictions, or circumstances beyond our reasonable control may require immediate action.

We do not promise uninterrupted service, permanent URLs, indefinite storage, a fixed roadmap, error-free analytics, or recovery of every lost item. Keep your own copies of important content and appointments. Roadmaps and descriptions of possible features are not delivery commitments.

8. Removal, suspension, and appeals

We support lawful expression within our rules. We do not promise never to remove anything. We may restrict, unpublish, or remove content, disable links, or suspend accounts where reasonably necessary to address a breach, legal request, rights complaint, safety risk, abuse, or hosting/provider requirement. Warning labels do not make unlawful content permissible.

Where appropriate and legally permitted, we will explain a restriction and offer a chance to fix it or appeal. Immediate action may be needed to protect people or systems or comply with law. Email hello@nilo.my with the affected URL and relevant context to appeal. Appeals do not automatically restore content and have no guaranteed response time.

Use “Report this page” on a profile or email us with safety or rights complaints. Identify the affected content, the issue, your contact details, and evidence of your authority where relevant. Do not send unnecessary sensitive data. We may preserve or disclose records as required by law or reasonably needed to protect rights and safety, as described in our Privacy Policy.

9. Leaving and account closure

You can unpublish, pause short links, disconnect Google, export supported data in Settings, and delete your account. Stopping use does not delete it. Deletion removes active account records and uploaded media; external copies, backups, and limited legal or abuse records may remain under the retention policy.

We may close an account for serious or repeated violations, legal requirements, or service discontinuation. Where reasonably practicable and appropriate, we will give notice and a chance to retrieve lawful content. Urgent cases may require immediate action. Provisions covering accrued obligations, lawfully retained content, liability, and disputes survive closure.

10. Warranties and results

To the extent permitted by law, the service is provided “as is” and “as available”, without additional warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not guarantee audience growth, revenue, successful appointments, third-party accuracy, or business results. Content on NILO is not professional advice.

Nothing excludes warranties, duties, remedies, or rights that cannot lawfully be excluded. Mandatory consumer and data-protection rights take priority over conflicting wording here.

11. Responsibility and liability

To the extent permitted by law, NILO is not liable for indirect or consequential losses, lost profits or business opportunities, or losses from third-party services, creator conduct, or unauthorized access not caused by our breach of a legal duty. Subject to the exceptions below, our aggregate liability arising from the service or these terms is limited to the greater of ₹1,000 or fees you paid NILO in the 12 months before the event giving rise to the claim.

These limits do not cover fraud, wilful misconduct, death or personal injury caused by negligence, or any liability, refund, compensation, or consumer or privacy remedy that law does not allow us to limit. They do not excuse legal obligations.

For business use only, to the extent permitted by law, you agree to indemnify us for reasonable, documented third-party claims and costs directly caused by your unlawful content, infringement, or deliberate material breach. This does not cover our own wrongdoing. We will provide reasonable notice and participation in the defence and will not settle in a way that admits liability or imposes obligations on you without consent. This indemnity does not apply to individuals acting solely as consumers.

12. Contact, law, and disputes

Contact hello@nilo.my so we can try to resolve an issue. You need not contact us first if doing so would prejudice an urgent remedy or legal right. Indian law governs these terms. Subject to mandatory rights to bring a case elsewhere, courts with lawful jurisdiction in Hyderabad, Telangana, India will hear disputes.

These terms do not impose mandatory arbitration, waive access to a consumer commission or competent regulator, or remove mandatory protections in your place of residence.

13. Changes to these terms

We may revise these terms and will date each version. Material changes will be brought to your attention through a prominent service notice or another appropriate channel before taking effect where reasonably practicable. Law or urgent security may require earlier changes. Posting new terms alone is not fresh consent where consent is required. If you disagree with a future change, you may stop using NILO and export or delete your account.

If a provision is unenforceable, the rest remains effective to the extent permitted by law. Non-enforcement is not a waiver. You cannot transfer this agreement without consent. We may transfer it with a lawful reorganization or sale, subject to law, required notices, and mandatory rights. These terms and offers you expressly accept form the service agreement; no informal statement overrides mandatory rights.
